Business transaction support: Prioritize experience, not convenience

When business owners prepare for a significant transaction, whether it involves buying or selling a company, restructuring ownership, securing investment or negotiating complex contracts, choosing legal counsel is one of the most consequential decisions they will make. Too often, that decision is driven by geographic convenience rather than experience. Yet, when it comes to modern business transactions, proximity matters far less than proven skill, strategic insight and responsiveness.

Consequential business transactions of any kind are rarely simple. They involve layers of financial, tax, regulatory and contractual considerations that can result in long-term consequences. A local attorney who primarily handles general matters or only occasional transactions may not recognize hidden risks, leverage points or deal structures that could protect value or prevent future disputes. Distance from an office shouldn’t be a primary concern with so much at stake

In recent years, technology has changed how many types of transactions are handled. Documents are often reviewed, negotiated and executed electronically. Meetings often occur via video conference. Due diligence is conducted through secure data rooms rather than physical file cabinets. As a result, the idea that a lawyer must be nearby to be effective is outdated. What matters is whether the attorney hired for support purposes understands the transaction, communicates clearly and moves efficiently. 

Strategic judgment is another key advantage of experience. Skilled transactional attorneys do more than draft documents. They help clients understand tradeoffs, assess risk tolerance and make informed decisions under pressure. They anticipate issues that opposing counsel may raise and structure agreements to reduce ambiguity. This level of guidance cannot be replaced by any potential advantages of geographical convenience.

Transactions often move quickly, with deadlines driven by financing, regulatory approvals and market conditions. Delayed responses or missed details can derail negotiations or weaken a client’s position. An experienced firm understands that availability and clear communication – regardless of where they are based – are essential parts of effective representation.

Transactions often involve years of work, substantial capital and personal risk. Choosing counsel based solely on location can mean sacrificing experience and knowledge that could protect value or prevent costly mistakes.
